Between FACE Websites and Company
To the best of the Company's knowledge, the use, reproduction, distribution, and transmission of the Web Site, or any information or materials contained in it, on and from FACE Websites's server computer does not (1) infringe or misappropriate any copyright, patent, trademark, trade secrets, or any other proprietary right of a third party: (2) violate any criminal laws; (3) constitute false advertising, unfair competition, defamation , an invasions of privacy, violate a right of publicity, or violate any other law or regulation.
FACE Websites, warrantee's to the Company that Company is responsible for all data generated from the Web Site. FACE Websites agrees to not distribute, sell or otherwise use data generated by Company without first obtaining written authorization to do so.
FACE Websites, (Host) has the right, but not the duty, to review and monitor all content submitted for or included on the Company Web Site, and in its sole discretion, to remove any content the Host finds objectionable for any reason without prior notice to Company.
Each Party agrees to indemnify and hold the other Party (the "Indemnittee") harmless from and against any and all liabilities, losses, damages, costs and expenses, including reasonable attorney fees and expert's fees, associated with any claim or action brought against the Indemnitee where it is found that the action is related to or arose out of the Party's breach of its warranties under this and the other agreement. The indemnification agreement will survive termination of the Agreement.
Neither FACE Websites, or the Company will be liable for any loss of business or profits for, or for any consequential, incidental, punitive, or similar damages, or claims of damages made by a third party for any cause, excluding gross negligence or intentional misconduct by FACE Websites, or the Company, or either of its employees, agents or contractors, even if they have been advised of the possibility of such damages.
Should FACE Websites cease hosting the Company site for any reason, Company will be allowed access to its information for 30 days after termination of service for the purpose of retrieval and saving of information.
